The Donor hereby donates the prize described above (the Prize)
by way of gift to the Recipient, at no fee, charge or other cost to the
Recipient. In particular (without limitation) no commission is payable by the
Recipient in the event of a sale or other disposition of the Prize.
It is the intention of the Recipient to sell the prize at the
event noted above, or such later date on which an auction may be held (the Auction). However, it is agreed that if for whatever
reason the Prize is not sold at the Auction, then the Recipient can retain the Prize,
sell or otherwise dispose of the same as the Recipient thinks fit.
The Donor hereby transfers full legal and beneficial
ownership of the Prize (and all rights therein) to the Recipient with full
title guarantee and free from claims by third parties. The Donor warrants that it has the right to
enter into and perform its obligations under this agreement and that no consent
from any third party is required.
The Donor shall provide the Recipient with an image of the Prize
at such time and in such format as the Recipient may reasonably require. The Donor hereby grants permission (the “Permission”)
to the Recipient and any associated sponsors of the Auction to reproduce the
image of the Prize (the “Image”) for: press (print or online), social
media, the Make-A-Wish UK website, the event website or a catalogue in
connection with the Auction. The Donor confirms there will be no fee for the
use of the Image. The Recipient agrees the Permission applies to the Auction
only. The Recipient confirms there will be no cropping, text overlay or
manipulating of the Image without written permission from the Donor.
This agreement shall be subject to the laws of England and
Wales.
